Role Overview

We are seeking an experienced and highly motivated Corporate Attorney to join our growing New York office. The ideal candidate will support Korean and U.S.-based clients in cross-border corporate matters, including U.S. capital market transactions, corporate governance disputes, M&A structures, ESG disclosures, and regulatory risk management. This role offers a unique opportunity to work at the intersection of Korean and U.S. legal systems, advising on high-stakes international transactions and regulatory matters.

 

The candidate will work closely with our Korean offices and global advisory partners to provide integrated legal strategies for clients navigating U.S. corporate law, securities regulations, and evolving ESG frameworks.

 

Key Responsibilities

· Advise Korean and international clients on U.S. IPOs and capital markets transactions, including SEC filings and compliance

· Provide counsel on corporate governance issues, including shareholder meetings, board structures, and engagement with proxy advisors (e.g., ISS, Glass Lewis)

· Conduct legal risk assessments and design strategic responses to civil and criminal regulatory issues in the U.S. (including matters involving the SEC, DOJ, etc.)

· Advise on U.S. legal aspects of cross-border M&A, joint ventures, and investment structures

· Analyze ESG and sustainability disclosure trends and advise on communication strategies with global institutional investors

· Collaborate with internal legal teams and external advisors to structure contracts, investments, and risk mitigation strategies across jurisdictions

· Support the Managing Attorney in operational matters related to establishing and expanding the New York office, including administrative setup, local compliance, and coordination with vendors and service providers

· Participate in business development initiatives, relationship-building with local partners, and identifying growth opportunities in the U.S. legal market

· Contribute to building internal systems and workflows to support the long-term scalability of the office

 

Required Qualifications

· Active license to practice law in the State of New York

· Minimum of 3 years of relevant experience in corporate law, capital markets, M&A, corporate governance, ESG, or risk management

· Strong knowledge of U.S. securities laws and regulatory frameworks

· Strong sense of initiative and adaptability in a fast-growing, start-up-like cross-border legal environment

· Willingness to take on a broad range of tasks beyond core legal work, including office operations and strategic planning

· Entrepreneurial mindset with the motivation to grow with the firm and help shape its U.S. presence from the ground up

 

Preferred Qualifications

· Experience preparing or reviewing SEC disclosure documents (e.g., S-1, F-1, 6-K, 20-F)

· Familiarity with NYSE/NASDAQ listing requirements and corporate governance advisory

· Experience analyzing internal controls and advising on SOX (Sarbanes-Oxley Act) compliance

· Proven ability to support shareholder meetings and build strategic responses to proxy advisory firms (ISS, Glass Lewis)

· Experience in U.S. law review of M&A and joint venture agreements

· Prior involvement in ESG reporting and communication strategies with global investors

· Experience advising on the early-stage response to regulatory or enforcement investigations (e.g., by the SEC or DOJ)

· Demonstrated ability to prepare legal due diligence reports and conduct legal risk analysis in cross-border transactions
